Client projects and deliverables are subject to the intellectual property terms defined in individual project agreements.

5. Client Projects

Any engagement for custom development, consulting, or other professional services requires a separate written agreement outlining scope, deliverables, timelines, payment terms, and intellectual property ownership. In the event of a conflict between these Terms and a signed project agreement, the project agreement will prevail.

6. Third-Party Links and Services

Our website may contain links to third-party websites or integrate with third-party services (such as Google Sign-In). We are not responsible for the content, privacy practices, or terms of any third-party sites or services. Your use of third-party services is subject to their respective terms and policies.

7. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Kodevia and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from these Terms or your use of the Services shall not exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Kodevia and its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services or violation of these Terms.

10. Changes to These Terms

We may modify these Terms at any time by posting the updated version on this page and revising the effective date above. Continued use of the Services after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Philippines.
